Terms for coaches
1. Parties and what Vinga does
This agreement is between If Not Why Not GmbH, Rosenthaler Str. 72A, 10119 Berlin ("Vinga") and the coach.
Vinga provides a platform where the coach lists in-person activities, families book and pay, and the coach manages everything by WhatsApp with the Vinga assistant. The coach is the provider and seller of their activities. The contract for an activity is between the coach and the family.
Only businesses can sell on Vinga. A coach who sells on their own, and every studio, must be registered as a business (for example as autónomo or as a company), hold liability insurance for the activities, and be able to issue an invoice to a family on request. The coach is responsible for their own taxes, invoices and permits. The coach confirms this registration when signing up and tells Vinga their tax ID; Vinga does not ask for proof. A coach who works for a studio does not need to be registered as a business; their relationship with the studio is between them.
Studios. A business with several coaches (for example a boxing studio) can join in two ways: each coach joins on their own as above, or the studio joins as the seller with one payment account and its coaches listed under it. In a studio, every coach who works with kids is approved individually (ID and Certificado) and has their own WhatsApp number; the studio is the seller of the bookings and holds the liability insurance for all its coaches. Families see the studio's name and, for each activity, the coach the studio chose from its pool of approved coaches.
2. Approval and documents
Before going live, and whenever a document expires, the coach provides:
- confirmation that the coach is registered as a business (for example as autónomo or as a company), and their tax ID,
- a valid ID document,
- a current negative Certificado de Delitos de Naturaleza Sexual, required for work with minors under Art. 57 LO 8/2021, and a new one every 12 months,
- proof of liability insurance covering the activities (for a coach in a studio, the studio provides it).
Rico Seiferth reviews the documents for Vinga. Vinga can refuse approval if documents are missing, expired or unclear and will say why.
3. Payments
- The coach connects their own Stripe account. Families pay the coach directly. Stripe's fees are paid by the coach under the coach's Stripe agreement.
- Vinga fee: free for the first 12 months from the coach's or studio's approval. After that the coach or studio chooses one of two plans: 10% commission on each payment from a family, or €10 per month plus 5% commission. Vinga calculates the fee on the last day of each month for everything sold in that month, minus payments refunded in that month, and deducts it from the coach's or studio's payments in the following month. If there are not enough payments, the rest carries over to the month after. The plan can be changed for the next month up to 14 days before the end of the current month. Vinga announces any change to the fee at least 15 days before it applies (Art. 3 P2B Regulation).
- The coach handles refunds and withdrawals according to the rules shown to families, including the 14-day withdrawal right for packs: the cancellation window (24 or 48 hours), coach cancellations and reschedules. The platform starts them automatically where the rules say so.
4. Running activities: safety rules
The coach follows these rules in every session:
- Emergencies: call the emergency services (112), stay with the group, inform the parents straight away. Never leave the group to go somewhere with a single kid.
- Toilet: Kids go before the session. Don't leave the group to accompany a kid.
- Arrival and leaving: agreed with the parents. Respect each kid's arrangement (arrives and leaves alone, or is picked up). Hand over only to the people the parents named.
- Check the health notes in the list before each session.
- Keep to the published dates, place, capacity and age range, and announce changes through Vinga.
- Use photos of kids only where the parents gave media consent.
- Contact kids under 18 only through Vinga or with the parents' agreement.
5. The WhatsApp assistant
The coach manages listings, dates, texts, photos and attendance by WhatsApp with the Vinga assistant, an AI system. The coach checks what the assistant confirms. Actions involving money, or sessions that already have bookings, need the coach's explicit confirmation or are carried out by fixed rules. Photos are reviewed by Vinga before they are published.
6. Content
The coach is responsible for their texts and photos, holds the rights to them, and lets Vinga show them on Vinga's sites and in messages for as long as the listing is active. Vinga may translate the coach's texts.
7. How activities are ordered
Activities on a community site are shown in order of the next session date.
8. Suspension and ending
- Vinga can suspend a listing or account if documents expire, if there are safety concerns, or for breaches of these terms. Vinga tells the coach why, at the latest when the suspension starts (Art. 4 P2B Regulation).
- Ending for other reasons: with 30 days' notice and reasons.
- Immediately for serious safety concerns or a negative change in the coach's certificate status.
- The coach can leave at any time. Sessions already booked are either held or refunded by the coach.
- Unused pack sessions when the coach stops an activity or leaves are the coach's matter. The coach decides how to handle them (for example a refund) and tells the families. Vinga is not involved.
- Documents are stored for as long as the coach is active on Vinga and deleted when the coach leaves.
9. Complaints
Complaints about Vinga's decisions go to hello@joinvinga.com. Vinga replies within 14 days.
10. Data protection
Vinga and the coach are each an independent controller for the personal data they use. The coach uses family and kid data only to run the booked sessions, and keeps it confidential. Vinga tells families in its privacy policy which data the coach receives and which data the coach sends to Vinga.
11. Liability
Vinga is not responsible for the activities. The coach is liable for the activities and keeps Vinga free from claims arising from them, unless Vinga caused the damage. Vinga's liability: unlimited for intent, gross negligence and injury to life, body or health; otherwise limited to foreseeable, typical damage.
12. Changes, law and place of jurisdiction
Vinga announces changes to these terms at least 15 days in advance (Art. 3 P2B Regulation). The coach can end the agreement before the changes apply. German law applies; place of jurisdiction is Berlin, as far as permitted.
